General conditions of access and continued use of the Zerynth web portal

  1. Rectials
  • A – Zerynth, holder and owner of the Zerynth project and trademark, is active in the sector of design, creation, and sale of solutions in the IoT (Internet of Things) and AI (Artificial Intelligence) fields, mobile, web, standalone, and embedded software applications, electronic, mechatronic, and intelligent devices, and analysis and measurement instruments, uniquely identified in its reference market by the trademark “Zerynth”.

    B – Zerynth holds the patent for a real-time multithreaded operating system (“Zerynth OS”), capable of providing better performance through the use of a single computing unit in which program execution occurs in parallel mode, ensuring better performance and efficiency. The “Zerynth OS” system also allows the use and reuse of code on a vast range of microcontrollers, providing almost complete independence of the software system from the hardware system and, consequently, a highly customizable system for every IoT solution.

    C – Zerynth designs and develops intelligent products and interconnected systems, providing solutions for small and large enterprises, for: i) the acquisition, processing, and reporting of data derived from the use of machinery in order to effect the digitalization of the Company through the optimization of industrial processes and/or services; ii) Engineering Activity, on a non-exclusive basis, of Company devices which, integrated with the use of Zerynth Hardware products, become innovative interconnection systems that the Company itself may place on the market; iii) purposes of study, analysis, verification, comparison, and benchmarking between processes, products, and/or corporate strategies, in the field of scientific and industrial research in order to offer efficacy and/or functionality analyses, including through access to third-party generative artificial intelligence systems, for the improvement of process performance.

    D – The Portal https://www.zerynth.com/ was created to allow easy and clear enjoyment (fruizione) of information regarding goods and services offered by Zerynth, including through the download of programming guides, information material, Python libraries, as well as through access to the Community Forum and Zerynth Tutorials, in compliance with these Conditions of Use.

    E – The term “Use” refers to all operations carried out by the User from the moment of access to the Portal, including simple consultation, regardless of the access device (PC, smartphone, or tablet), the type of connection (private, third-party, public, or WI-FI), and the location of the connection.

    F – These Conditions must be complied with by all those who intend to browse the pages of the Portal.

    G – The enjoyment of the Portal pages is intended exclusively for persons of legal age.

    H – Should goods and services be presented and offered within the pages of the Portal that are subject to specific terms and conditions set forth in said pages, the latter shall prevail over these Conditions.

  1. Functionalities
  • 2.1. The Portal for which access has been requested by accessing the URL https://www.zerynth.com/ complies with the General Data Protection Regulation (EU Reg. 679/2016, hereinafter “GDPR”) and formerly with the Privacy Code (Legislative Decree 30.06.2003 no. 196) as well as with the Consumer Decree (decreto consumatore), and allows browsing Users to benefit from functionalities which, by way of example but not limited to, are indicated below:
    • knowing the skills, purposes, activities, and trademarks of Zerynth, including their specific technological characteristics, fields of application, and use in general;
    • knowing aspects, methods, and sectors of commercial communication of the trademarks and/or products and services referable to Zerynth.
  1. Permanence and browsing on the Zerynth Portal
  • 3.1. Continued presence (permanenza) on the Portal constitutes unreserved acceptance of these conditions of use by the User. Such conditions, as well as the characteristics and fields of application, may be subject to modifications by Zerynth.

    3.2. The User may not under any circumstances use the Portal for commercial purposes; Use of the Portal is permitted solely for private purposes, and the enjoyment of the Service is permitted exclusively to Users who purchase and use the Services by connecting to the Internet on IP (Internet Protocol) classes, who have reached the age of majority. The user requesting access, in the case of a natural person, declares that they are at least 18 years of age. The conclusion of the contract with a subject under the age of 18 shall not be considered valid; therefore, the user declares and guarantees that the personal information provided is correct, complete, and truthful.

  1. Accessibility
  • 4.1. Access to the Portal is provided “as is” and “as available”. Zerynth therefore assumes no liability regarding its enjoyment and availability; Access to the Portal may be momentarily interrupted for technical reasons related to maintenance; The User accepts that Zerynth may suspend, without any prior notice, the operation of the Access Service to the Portal “https://www.zerynth.com/” or sections thereof, to ensure ordinary and extraordinary maintenance interventions, and that the same shall not be in any way liable towards the User for the unavailability of said Service caused by a partial or total interruption thereof.

    4.2. The user is aware that Zerynth shall not be liable for delays, suspensions, and/or interruptions in the provision of Access Services to the Portal “https://www.zerynth.com/” caused by: a) force majeure or fortuitous events (caso fortuito); b) tampering or interventions on the connection Software by Third Parties; c) total or partial interruption of the Access Service caused by the telecommunications operator providing the interconnection service.

    4.3. Access to the Portal or sections thereof may be subject to the creation of an Account, for the preparation of which information allowing identification may be requested from the User, including through third-party Applications.

  1. Ownership and confidentiality
  • 5.1 Any document in the form of image files, video files, audio files, and anything else present within the Zerynth Portal “https://www.zerynth.com/” or connectable to it and referred to in this contract remains the exclusive property and/or under exclusive license of the company itself and/or its sub-licensors. The User is prohibited from any use and any dissemination, even if non-commercial, of the trademarks, logos, and in general of any distinctive sign attributable to the Portal in question.
  1. Contract, Governing Law and Competent Jurisdiction
  • 6.1 Should one or more clauses of these general conditions of use be declared null and void following the application of a law, a regulation, or a final judicial or administrative decision, the other clauses shall maintain their force and effect. 6.2 This contract shall be governed by and must be interpreted according to Italian legislation and the Law of the Italian State, to which reference is made for every assessment. 6.3 Any controversy relating to disputes regarding the interpretation and/or execution of the methods of access and use of the Zerynth Portal “https://www.zerynth.com/” shall be devolved to the cognizance of the Italian Judge and in particular exclusively to the Court of Pisa.
